1. What Zoe is
Zoe is a personal AI assistant designed to help you manage everyday tasks, information and administration.
Depending on the features you use, Zoe may be able to:
- answer questions and help you work through tasks;
- remember information you ask Zoe to remember;
- organise, summarise and create information;
- work with documents and files;
- connect to services such as your email, calendar or other applications;
- prepare messages, appointments, forms or other actions for you;
- carry out actions that you have authorised;
- run tasks or standing instructions on your behalf; and
- use software, websites or other services to help complete a task.
Zoe uses artificial intelligence and other software services to do this. Features may change over time and some features may only be available on particular plans.
2. Who can use Zoe
You must be at least 18 years old to create a Zoe account unless we expressly offer a service designed for younger users with appropriate consent arrangements.
You must provide accurate information when creating your account and keep your account information reasonably up to date.
You are responsible for protecting access to your account and any device, messaging account or email address through which you can instruct Zoe.
Please contact us promptly at support@askzoe.io if you believe someone has gained unauthorised access to your Zoe account.
3. Using Zoe through other services
You may be able to communicate with Zoe through services provided by other companies, such as messaging applications, email platforms or other applications.
Your use of those services remains subject to their own terms and privacy policies. Your mobile network, internet provider or messaging provider may also charge you for data, messages or other services. Those charges are between you and the relevant provider.
Where Zoe receives an instruction through a messaging account, email address or other channel connected to your Zoe account, we may treat that instruction as coming from you unless we have reason to believe otherwise. We may introduce additional security or confirmation requirements for sensitive actions.
4. Connecting your accounts and services
You may choose to connect Zoe to third-party services, such as email, calendars, cloud storage, productivity tools or other applications (“Connected Services”).
When you connect a service, you authorise Zoe to access and process the information made available through that connection to the extent necessary to provide the features you have requested.
Depending on the permissions you grant, this may allow Zoe to:
- read information from a Connected Service;
- search or organise information;
- create or update information;
- prepare actions for your approval; or
- carry out actions that you have authorised.
You control which supported services you connect and can disconnect them through Zoe or, where applicable, through the Connected Service. You must only connect accounts that you are entitled to access and authorise Zoe to use.
Connected Services are provided by third parties. We do not control their availability, functionality or terms, and changes made by those providers may affect how Zoe works with them.
5. Your information and content
When you use Zoe, you may provide messages, instructions, files, documents, notes, images or other information. Zoe may also access information from Connected Services that you have authorised. We refer to this collectively as Your Content.
You keep ownership of Your Content.
You give us permission to host, copy, process, transmit and otherwise use Your Content only as reasonably necessary to:
- provide Zoe to you;
- carry out your instructions;
- maintain and secure the service;
- provide support;
- comply with the law; and
- operate Zoe as otherwise described in our Privacy Notice.
You are responsible for ensuring that you have the right to provide Your Content to Zoe and to authorise us to process it. Your Content may sometimes include information about other people, for example in emails, calendar invitations or documents. You should only use Zoe with that information where you are legally entitled to do so.
6. AI-generated responses
Zoe may generate text, summaries, recommendations, documents and other materials in response to your instructions (“Outputs”).
To the extent permitted by law, we do not claim ownership of the Outputs Zoe generates for you.
AI systems can produce similar or identical outputs for different users. Your use of an Output does not prevent someone else from independently receiving or creating similar material.
You are responsible for deciding whether an Output is suitable for the purpose for which you intend to use it.
7. How Zoe takes actions for you
One of Zoe’s purposes is to help you get things done, rather than simply provide information. Zoe may therefore be capable of interacting with other services and carrying out actions on your behalf (“Actions”).
An Action might include sending or replying to a message, creating, changing or cancelling a calendar event, entering information into a website or application, uploading or downloading a file, submitting information, updating a record, or carrying out another task you have requested.
Proposed Actions
Zoe may prepare or suggest an Action without carrying it out. Where Zoe asks you to review or approve an Action, it will not intentionally carry out that Action until you have given the required approval.
Approved Actions
When you explicitly approve an Action, you authorise Zoe to carry it out on your behalf. Approval may be given through Zoe’s application, through a connected messaging channel, or through another confirmation mechanism that we provide. You should check the important details of an Action before approving it.
Standing instructions and automations
You may also be able to give Zoe an instruction that applies in the future or on an ongoing basis. When you create a standing instruction or automation and expressly authorise Zoe to perform the relevant Actions without asking you each time, that instruction counts as your authority for Zoe to carry out those Actions until the instruction expires, is completed, is changed or is cancelled.
You are responsible for keeping your standing instructions and automations up to date. You can cancel or change them using the controls we provide. Cancelling an instruction cannot necessarily reverse an Action that has already been completed.
Additional confirmation
Even where you have authorised an Action or created a standing instruction, Zoe may ask you to confirm an Action again where we consider this appropriate. We may also refuse or stop an Action where we reasonably believe it would be unlawful, unsafe, fraudulent, technically unreliable or contrary to these Terms.
8. Actions involving third parties
When Zoe interacts with a third-party service on your behalf, Zoe is normally acting as a technical assistant carrying out your instructions.
We do not become the buyer, seller, supplier or other party to a transaction simply because Zoe helps you carry it out.
Any transaction or arrangement with a third party remains between you and that third party and is subject to that third party’s terms, prices, cancellation rights and other conditions.
Where an approved Action creates a booking, order, appointment, message, commitment or other interaction with a third party, you are responsible for that interaction as though you had carried it out yourself.
Zoe does not have general authority to enter into commitments on your behalf simply because you use the service. Zoe’s authority arises from the instructions, approvals and standing permissions you give it.
9. Zoe can make mistakes
Artificial intelligence is not perfect. Zoe may misunderstand an instruction, overlook relevant information or produce information that is inaccurate, incomplete or out of date.
Actions taken by software or third-party services can also fail or behave differently from expected.
You should use appropriate judgement when relying on Zoe, particularly where a mistake could have significant financial, legal, health, safety or other consequences.
We may provide safeguards, confirmation steps and other controls designed to reduce mistakes. These safeguards cannot guarantee that every error will be detected.
10. Professional and high-impact decisions
Zoe is a general-purpose personal assistant. Unless we specifically tell you otherwise for a particular regulated service, Zoe is not acting as your doctor, lawyer, accountant, financial adviser, investment adviser or other regulated professional.
You should obtain appropriate professional advice where it is required.
You must not use Zoe as the sole basis for decisions that determine another person’s access to employment, housing, credit, insurance, healthcare, education or other similarly significant opportunities or services where meaningful human review is required by law or would reasonably be expected.
11. Privacy and AI model training
Our Privacy Notice contains the detailed explanation of how we process personal information.
We do not use your private content to train AI models.
This includes the messages you send Zoe, your notes, emails, calendar information, documents, files and information obtained from your Connected Services.
We may use aggregated or anonymised technical and usage information to understand how Zoe performs, keep the service secure and improve the product.
Zoe uses third-party technology providers, including AI model providers, to deliver parts of the service. We select and configure these services so that information sent to them on our behalf is processed for the purpose of providing the relevant service and is not used to train their general-purpose AI models, as described more fully in our Privacy Notice.
12. Acceptable use
You must use Zoe lawfully and responsibly. You must not use Zoe to:
- break the law or encourage someone else to do so;
- access an account, system or information without authority;
- impersonate another person deceptively;
- defraud or deliberately mislead another person;
- distribute malware or interfere with computer systems;
- infringe another person’s intellectual property, privacy or other rights;
- harass, threaten or abuse another person;
- circumvent Zoe’s security or usage restrictions;
- attempt to extract source code, system prompts, security credentials or other protected components of Zoe except where the law expressly permits you to do so;
- interfere with Zoe’s operation or other users’ access to the service; or
- use automated methods to place unreasonable loads on our systems.
We may operate additional safety restrictions for particular capabilities. If we reasonably believe your use of Zoe creates a security, legal or safety risk, we may restrict the relevant feature or suspend your access while we investigate.
13. Our technology and intellectual property
Zoe, including our software, designs, branding, systems and underlying technology, belongs to us or our licensors.
These Terms give you a personal, limited, non-exclusive right to use Zoe while your account remains active and in accordance with these Terms. They do not transfer ownership of Zoe or our intellectual property.
If you send us suggestions or feedback about Zoe, we may use that feedback to develop and improve the service without owing you compensation. This does not give us ownership of Your Content.
14. Paid plans and subscriptions
Some parts of Zoe may require a paid subscription. The price, billing period and main features of the subscription will be shown to you before you subscribe. Unless stated otherwise, subscription prices include any VAT or other consumer taxes that we are required to include.
Recurring subscriptions
If you choose a recurring subscription, you authorise us or our payment provider to charge the applicable subscription price at the beginning of each billing period until you cancel. You can cancel your subscription using the account or billing controls we provide.
Free or discounted trials
If we offer a trial that automatically becomes a paid subscription, we will tell you before you start how long the trial lasts, what you will be charged afterwards, when the first payment will be taken, and how to cancel.
Price changes
We may change subscription prices from time to time. If a change affects an existing recurring subscription, we will give you reasonable notice before the new price applies.
15. Consumer cancellation rights
If you are a consumer, you may have a legal right to cancel a contract entered into online within 14 days without giving a reason.
Because Zoe is an online service that you may want to start using immediately, you may be asked to expressly request that we begin providing the service during this cancellation period.
Nothing in these Terms affects any cancellation, refund or other consumer rights that the law gives you.
16. Payment
Payments may be processed by a third-party payment provider. You authorise the payment provider to charge the payment method associated with your subscription.
You are responsible for keeping your payment information up to date. If a payment fails, we may ask you to update your payment method and may restrict paid features until payment is received. We will not charge you optional additional amounts without your consent.
17. Availability and changes to Zoe
We aim to make Zoe reliable, but we do not promise that the service will always be available or uninterrupted.
Zoe depends on internet services, cloud infrastructure, AI providers, Connected Services and other third-party systems. These may sometimes be unavailable or change without our control.
We may update, improve, replace or discontinue features as Zoe develops. Where a change materially affects a paid service you are already receiving, we will take reasonable steps to tell you in advance where practicable.
18. Suspending or closing an account
You can stop using Zoe at any time. You may also close your account using the controls we provide or by contacting us.
We may suspend or close an account where reasonably necessary because you have materially or repeatedly breached these Terms; your use creates a material security or safety risk; we reasonably suspect fraud or unauthorised access; we are required to do so by law; continued provision has become technically or legally impractical; or you have not paid amounts properly due.
Our Privacy Notice explains what happens to personal information when an account is closed and what deletion rights may apply.
19. Our responsibility to you
Nothing in these Terms excludes or limits any responsibility that cannot legally be excluded or limited. This includes liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, and your statutory consumer rights.
We are not responsible for losses caused by inaccurate information you provide, an Action that accurately follows your instruction or approval, your failure to keep an account or Connected Service secure, circumstances outside our reasonable control, a third-party service failing or changing, or your use of Zoe in breach of these Terms.
Nothing in this section affects your statutory rights.
20. Third-party services
Zoe may link to, connect with or use products and services provided by other companies.
We are responsible for Zoe and for how we select and integrate third-party providers into our service, subject to these Terms and applicable law.
We are not responsible for a third party’s own products or services simply because Zoe can interact with them. Your relationship with a third-party provider remains subject to the agreement between you and that provider.
21. Changes to these Terms
We may update these Terms where reasonably necessary, for example because Zoe’s features or the law changes, we introduce new services, or we need to address a security or safety issue.
If a change materially affects your rights or obligations, we will give you reasonable notice before it takes effect unless an immediate change is required by law or for urgent security reasons.
The date at the top of these Terms tells you when they were last updated.
22. If part of these Terms is invalid
If a court or other competent authority decides that part of these Terms is invalid or unenforceable, the remaining parts will continue to apply.
If we do not immediately enforce a provision of these Terms, this does not mean we have given up the right to enforce it later.
23. Governing law and disputes
These Terms are governed by the laws of England and Wales.
If you are a consumer living elsewhere in the United Kingdom, you will also retain any mandatory protections given to you by the law where you live.
If a disagreement arises, please contact us first at support@askzoe.io and we will try to resolve it. If you are a consumer, you may bring legal proceedings in the courts available to you under applicable consumer law.
